PUBLIC OFFER AGREEMENT


This agreement is the official and public offer of the Seller to enter into a contract for the sale of Goods presented on the website https://artus.live/.
This agreement is public, meaning that according to Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, or individual entrepreneur) without giving preference to one buyer over another. By entering into this Agreement, the buyer fully accepts the terms and conditions of placing an order, payment for the goods, delivery of the goods, returns, liability for dishonest ordering, and all other provisions of the agreement. The Agreement is considered concluded when the buyer clicks the "Confirm Order" button on the order page in the "Cart" section and receives the order confirmation from the Seller in electronic form.

1. Definitions
1.1. Public offer (hereinafter – "Offer") – a public proposal from the Seller addressed to an indefinite group of persons to enter into a contract for the sale of goods remotely (hereinafter – "Contract") on the terms contained in this Offer.
1.2. Goods or Service – the subject of the transaction between the parties, selected by the buyer on the website of the online store and placed in the cart, or already purchased by the buyer from the Seller remotely.
1.3. Online store – the Seller's website at https://artus.live/ created for entering into retail and wholesale sales contracts based on the information provided by the Seller about the Goods via the Internet.
1.4. Buyer – a capable individual who is 18 years of age or older, receives information from the Seller, places an order for the purchase of goods presented on the online store website for purposes unrelated to entrepreneurial activity, or a legal entity or an individual entrepreneur.
1.5. Seller – Private Entrepreneur Andriy Omelyanovych Kukh (identification code 3212518433), a legal entity created and operating in accordance with the current legislation of Ukraine, located at: Ukraine, 76492, Ivano-Frankivsk region, Ivano-Frankivsk, Kupalska St. 12/2.

2. Subject of the Agreement
2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
2.2. The date of the conclusion of the Agreement (the acceptance of the offer) and the moment of full and unconditional acceptance by the Buyer of the terms of the Agreement is considered the date when the Buyer fills out the order form on the online store website, provided that the Buyer receives order confirmation from the Seller in electronic form. If necessary, at the Buyer’s request, the Agreement may be executed in writing.

3. Order Placement
3.1. The Buyer independently places an order in the online store via the "Cart" form or by ordering via email or phone number specified in the contact section of the online store.
3.2. The Seller has the right to refuse to process the order if the details provided by the Buyer during the order placement are incomplete or raise doubts about their validity.
3.3. When placing an order on the online store website, the Buyer is required to provide the following mandatory information necessary for the Seller to process the order:
- 3.3.1. Buyer’s last name and first name;
- 3.3.2. The address to which the Goods should be delivered (if delivery is to the Buyer’s address);
- 3.3.3. Contact phone number;
- 3.3.4. Identification code (for legal entities or individual entrepreneurs).
3.4. The name, quantity, and price of the Goods selected by the Buyer are listed in the Buyer’s cart on the online store website.

4. Price and Delivery of Goods
4.1. Prices for Goods and services are determined by the Seller independently and are listed on the online store website. All prices for Goods and services are listed on the website.
4.2. Prices for Goods and services may be changed by the Seller unilaterally depending on market conditions. However, the price of a specific unit of Goods, the full price of which has been paid by the Buyer, cannot be changed by the Seller unilaterally.
4.3. The price of Goods listed on the online store website includes the cost of delivering the Goods to the Buyer or the Buyer’s address.
4.4. The Buyer’s obligation to pay for the Goods is considered fulfilled when the Seller receives the payment for the Goods in full.
4.5. Payments between the Seller and the Buyer for Goods are made by the methods specified on the online store website in the "Payment and Delivery" section.
4.6. Upon receiving the goods, the Buyer must check the quality and quantity characteristics of the Goods (name of the product, quantity, completeness) in the presence of the delivery service representative (carrier).
4.7. The Buyer or their representative, when accepting the Goods, confirms with their signature in the receipt/in the order/ or in the transport waybill that they have no claims regarding the quantity of the Goods, external appearance, and completeness of the Goods.

5. Rights and Obligations of the Parties
5.1. The Seller is obliged to:
- 5.1.1. Transfer the Goods to the Buyer in accordance with the terms of this Agreement and the Buyer’s order.
- 5.1.2. Not disclose any private information about the Buyer and not provide access to this information to third parties, except in cases where this is required by law or to fulfill the Buyer’s Order.
5.3 The Buyer is obliged to:
5.3.1. Before entering into the Agreement, familiarize themselves with the content of the Agreement, the terms of the Agreement, and the prices offered by the Seller on the online store website.
5.3.2. To allow the Seller to fulfill their obligations, the Buyer must provide all necessary details that uniquely identify them as the Buyer and are sufficient for delivering the ordered Goods.

6. Return of Goods
6.1. The methods of returning goods are specified on the online store website in the "Exchange and Return" section. The return of goods of proper quality is allowed if they have not been used and if their commercial appearance, consumer properties, packaging, seals, labels, and the receipt issued to the Buyer for payment of the Goods are preserved.
6.2. The return of the value of goods of proper quality to the Buyer is made within 30 (thirty) calendar days from the moment the Seller receives such Goods, provided that the Buyer meets the requirements specified in p. 6.1 of the Agreement and complies with the current legislation of Ukraine.
6.3. The Seller reviews claims related to the Law of Ukraine "On Consumer Protection" provided that the Buyer submits the documents required by the current legislation of Ukraine. The Seller is not responsible for defects in the Goods that arise after the Goods are transferred to the Buyer due to the Buyer’s failure to follow usage or storage rules, actions by third parties, or force majeure.
6.4. The Buyer has no right to refuse the goods of proper quality that have individual characteristics, if the goods can be used only by the Buyer who purchased them (e.g., non-standard sizes, characteristics, appearance, packaging, etc.). Confirmation that the goods have individual characteristics is the difference in sizes and other specifications listed on the online store website.

7. Liability
7.1. The Seller is not responsible for any damage caused to the Buyer or third parties due to improper installation, use, or storage of the Goods purchased from the Seller.
7.2. The Seller is not responsible for the improper or untimely execution of Orders and their obligations if the Buyer provides inaccurate or erroneous information.
7.3. Both the Seller and the Buyer are responsible for fulfilling their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement.
7.4. The Seller or the Buyer are exempt from responsibility for the full or partial non-fulfillment of their obligations if the non-fulfillment is caused by force majeure, such as war, military actions, earthquake, flood, fire, or other natural disasters beyond the control of the Seller and/or the Buyer after the conclusion of this Agreement. The party unable to fulfill its obligations must immediately notify the other party.

8. Confidentiality and Protection of Personal Data
8.1. By providing their personal data on the online store website during registration or placing an Order, the Buyer gives the Seller their voluntary consent to process, use (including transfer) their personal data and to take other actions specified by the Law of Ukraine "On Protection of Personal Data", with no limitation on the term of such consent.
8.2. The Seller is obliged not to disclose the information received from the Buyer. It is not considered a violation if the Seller provides information to contractors and third parties acting in the interests of the Seller and performing actions necessary for fulfilling the Buyer’s order.
8.3. The Buyer is responsible for keeping their personal data up to date. The Seller is not liable for poor performance or non-performance of their obligations due to outdated or inaccurate information about the Buyer.

9. Other terms
9.1. This agreement is concluded in the territory of Ukraine and is governed by the current legislation of Ukraine.
9.2. All disputes arising between the Buyer and the Seller shall be resolved through negotiations. If the dispute cannot be resolved through negotiations, the Buyer and/or Seller have the right to refer the dispute to the judicial authorities in accordance with the current legislation of Ukraine.
9.3. The Seller has the right to make changes to this Agreement unilaterally, as provided in clause 5.2.1 of the Agreement. In addition, changes to the Agreement may also be made by mutual consent of the Parties in accordance with the current legislation of Ukraine.
